KRILL END USER LICENSE AGREEMENT

By installing or using the Krill 3D Gaussian Splatting plugin for Rhino 8 ("the Software"), developed and licensed by Verkare AB ("Verkare"), you — an individual or the legal entity you represent ("you") — agree to the following terms. The Software is intended for professional and business use.

1. PROPRIETARY SOFTWARE & LICENSE GRANT
This Software is a proprietary product; it is licensed, not sold. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Beta version of the Software for evaluation purposes, including evaluation in commercial production work at your own risk, subject to the restrictions in Section 2. Verkare reserves the right to introduce paid licensing tiers for future non-Beta releases; Beta usage does not grant a license to any future commercial release of the Software.

User Output. You retain all right, title, and interest in any 3D models, scene files, point clouds, exported files, or other data you generate using the Software ("User Output"). Verkare claims no ownership over User Output. This Section does not grant Verkare any license to your User Output.

2. RESTRICTIONS ON USE
You may not:
- Reverse engineer, decompile, disassemble, or attempt to extract the source code or algorithms from the Software (including the .dll and .rhp files).
- Modify, adapt, or create derivative works based on the Software.
- Redistribute, sublicense, rent, or commercially host the Software without explicit written permission from Verkare.
- Circumvent, disable, or interfere with the access code mechanism or any other technical protection measure in the Software.

These restrictions apply only to the extent permitted by applicable law and do not limit rights that cannot be excluded by agreement, such as decompilation strictly for the purpose of interoperability under Directive 2009/24/EC.

3. BETA RELEASE STATUS AND EXPIRATION
You acknowledge that this is a BETA release. The Software is still under active development, may contain bugs, and is provided primarily for evaluation. You use this Software at your own risk. We strongly recommend saving your Rhino documents frequently.

BETA EXPIRATION & FUTURE LICENSING: This beta version of Krill will cease to function after September 30, 2026. Following the Beta period, Verkare intends to transition the Software to a commercial release model, which may include both free (limited functionality) and paid (advanced functionality) tiers. However, Verkare makes no binding commitments regarding final pricing, feature distribution, or release schedules. Continued use of the Software after the Beta period will require obtaining a new version and accepting a new license agreement at https://krill.verkare.com.

4. NO WARRANTY AND LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS SOFTWARE IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

EXCEPT IN CASES OF INTENT OR GROSS NEGLIGENCE, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERKARE OR ITS AUTHORS BE LIABLE FOR ANY DATA LOSS, FILE CORRUPTION, PROJECT DAMAGE, OR ANY OTHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THIS SOFTWARE, EVEN IF VERKARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You acknowledge that the Software may contain bugs, errors, or other issues that could result in data loss or corruption of Rhino files. You are solely responsible for maintaining backups of your data.

5. PRIVACY AND DATA COLLECTION
The Software operates entirely locally. It does not automatically upload your 3D models or CAD data to any cloud server. Krill stores diagnostic log files locally on your computer in your application data directory. These logs are never transmitted over the network. The "KrillCopyDiagnostics" command copies a sanitized diagnostic report to your clipboard for you to voluntarily share with support; the sanitizer removes user paths, machine name, and CAD/3D filename stems before the report leaves your machine. The raw local log file retains real paths for your own local debugging and is not safe to forward externally — always share via the KrillCopyDiagnostics command. No data is collected, transmitted, or shared automatically.

Installation and updates are distributed through Rhino's package manager (Yak), operated by Robert McNeel & Associates. Any network communication involved in checking for or downloading packages is performed by Rhino, not by the Software. Verkare does not control that communication.

Any diagnostic information you choose to share with Verkare will be processed solely for the purpose of providing technical support and improving the Software, in accordance with applicable data-protection law.

6. THIRD-PARTY NOTICES
This software utilizes certain third-party components under permissive licenses (such as MIT and Apache 2.0). A full list of attributions and bundled license texts can be found in the included THIRD-PARTY-NOTICES.txt file.

7. FEEDBACK
Any feedback, suggestions, ideas, or improvements relating to the Software that you choose to provide to Verkare ("Feedback") are voluntary and non-confidential. You grant Verkare a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, modify, distribute, and commercialize Feedback for any purpose, without compensation, attribution, or any other obligation to you. You confirm that you are entitled to grant this license. Verkare remains free to independently develop ideas similar to any Feedback.

8. TERMINATION AND SURVIVAL
8.1 Termination. Verkare may terminate this license (a) immediately upon any breach by you of the terms set forth in this EULA, or (b) at any time and for any reason during the Beta period at Verkare's sole discretion. Verkare is under no obligation to provide reasons or notice for a termination for convenience.
8.2 Effect of Termination. Upon termination, expiration, or end of the Beta period, you must cease all use of the Software and destroy or remove all copies in your possession or control.
8.3 Survival. Sections 2 (Restrictions on Use), 4 (No Warranty and Limitation of Liability), 5 (Privacy and Data Collection), 6 (Third-Party Notices), 7 (Feedback), 8 (Termination and Survival), 9 (Severability), 10 (Governing Law & Jurisdiction), 12 (Host Application), 13 (Export Control), and 14 (Entire Agreement) shall survive any termination or expiration of this EULA.

9. SEVERABILITY
If any provision of this EULA is held to be unenforceable or invalid under applicable law, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

10. GOVERNING LAW & JURISDICTION
This EULA shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. Any disputes arising out of or in connection with this EULA shall be settled by Swedish courts, with the District Court of Gothenburg (Göteborgs tingsrätt) as the court of first instance.

11. SUPPORT
Support during the Beta period is provided on a best-effort, "as available" basis. Verkare makes no commitment to specific response times, resolution windows, or service levels. Reported issues may be addressed, deferred, or declined at Verkare's sole discretion.

12. HOST APPLICATION
The Software is an independent third-party plugin for Rhino 8, developed by Verkare. Verkare is not affiliated with, endorsed by, or sponsored by Robert McNeel & Associates ("McNeel"). You are solely responsible for obtaining and maintaining a valid Rhino 8 license and for complying with McNeel's applicable license terms. Verkare makes no representations regarding Rhino 8 itself.

13. EXPORT CONTROL
You represent and warrant that (a) you are not located in, under the control of, or a national or resident of any country embargoed by Sweden, the European Union, or the United States; (b) you are not on any restricted-party or denied-persons list maintained by such authorities; and (c) you will comply with all applicable export-control laws and regulations in connection with the use of the Software.

14. ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Verkare concerning the Software and supersedes all prior or contemporaneous statements and communications. Information on verkare.com, in documentation, or in marketing materials is descriptive only and does not form part of this agreement or constitute a warranty.

15. ASSIGNMENT
Verkare may assign this EULA in connection with a merger, acquisition, or reorganization of its business. You may not assign this EULA without Verkare's prior written consent.
